1. Introduction
These Terms and Conditions ("Terms") govern the use of our meeting recording and minutes generation service ("Service") provided by Neurameet Ltd ("we," "our," or "us"). By using our Service, you ("User," or "Client") agree to these Terms in their entirety.
2. Service Description
The Service, known as Neurameet, provides automated recording and minutes generation for meetings, including:
- Digital recording of meetings
- Automated generation of meeting minutes
- Secure storage of recordings and minutes
- Access to stored content through authenticated means
3. Data Protection and Privacy
3.1 Data Collection
We collect and process the following types of data:
- Audio recordings of meetings
- Text transcriptions and meeting minutes
- User account information
- User information
3.2 Data Security
- All data is encrypted during transmission and storage using industry-standard encryption protocols.
- Data is stored using Cloudflare R2 with encryption at rest.
- Access to data is strictly controlled through authenticated and authorised means.
- Regular security audits and updates are performed to maintain data protection standards.
- We comply with UK GDPR and Data Protection Act 2018 requirements.
3.3 Data Processing Agreement
Schools engaging our Service act as the Data Controller, while we act as the Data Processor under UK GDPR and the Data Protection Act 2018. A separate Data Processing Agreement will be executed between parties.
4. User Obligations
4.1 Consent and Authorisation
- The User must obtain necessary consent from all meeting participants regarding recording.
- Inform all participants that meetings will be recorded.
- Display visible notices during meetings about recording.
- Maintain records of consent as required by UK law.
- Ensure compliance with Department for Education and local education authority requirements.
4.2 Acceptable Use
- Users must not share access credentials.
- Attempt to circumvent security measures.
- Upload or store prohibited content.
- Reverse engineer or attempt to extract source code.
5. Our Obligations
- We commit to maintaining 99.9% service uptime.
- Implementing industry-standard security measures.
- Providing technical support during UK business hours (9:00-17:00 GMT/BST).
- Processing data in accordance with UK data protection laws.
- Notifying users and the ICO of any security breaches within 72 hours.
6. Intellectual Property
6.1 Our IP
- Neurameet retains all rights to the Service software and technology.
- Processing algorithms.
- User interface designs.
- Documentation and training materials.
6.2 User IP
- Users retain all rights to meeting content and recordings.
- Generated minutes and transcriptions.
- User-specific data and information.
7. Liability and Indemnification
7.1 Limitation of Liability
- Our liability is limited to the amount paid for the Service in the preceding 12 months.
- Only direct damages are covered.
- Excludes consequential, incidental, or punitive damages.
- Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
7.2 Indemnification
Users agree to indemnify us against claims arising from:
- Unauthorised recording of participants.
- Breach of consent requirements.
- Misuse of the Service.
- Violation of these Terms.
8. Termination
8.1 Termination by Users
Schools may terminate service with 30 days written notice.
8.2 Termination by Us
We may terminate service immediately for Terms violation or for any reason.
8.3 Post-Termination
- Upon termination, schools have 30 days to request their data.
- All data will be securely deleted after 60 days.
- Confidentiality obligations survive termination.
9. Changes to Terms
- We reserve the right to modify these Terms with 30 days notice for material changes.
- Immediate effect for non-material changes.
- Notice provided through Neurameet dashboard and email.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
